Custom Work Terms
Last updated 20 October 2026
These terms apply when you hire qodesign to design or build something for you: a UI component, a landing page, a website or a web app. They sit alongside the Terms of Service. If a signed quote or contract says something different, the quote or contract wins.
Who we are. qodesign is a brand of Wisdom Sphere LLC ("Wisdom Sphere", "we", "us"), a Delaware limited liability company, 16192 Coastal Hwy, Lewes, DE 19958, USA. Email: [email protected]. Website: https://qodesign.dev.
1. Quote
Every project starts with a written quote (by email or PDF). It lists:
- what we will build (the scope), and what is not included;
- the price, in US dollars unless the quote says otherwise, and whether any sales tax or VAT is added;
- the payment schedule (deposit and milestones);
- the timeline, with the date work starts;
- the number of revision rounds included.
A quote is valid for 14 days. The project is booked when you accept the quote in writing (an email saying so is enough) and pay the deposit.
2. Payment
- Deposit. Normally 50% of the quote, paid before we start. It reserves our time and covers the first part of the work.
- Balance. The rest is due on delivery, before we hand over the final files or move the site to your hosting. Larger projects (the quote says which) are split into milestones, each invoiced when you approve it.
- Invoices are due within 7 days. Payment is by card through Stripe or by bank transfer. Custom work is invoiced by Wisdom Sphere LLC directly. It is not sold through Link, the merchant of record that handles orders in the shop, so the shop's checkout terms don't apply to it.
- If an invoice is more than 14 days late, we may pause the work until it is paid.
3. What we need from you
You give us the content, brand files, logins and feedback the project needs, on time. If you delay us by more than 30 days without a plan to restart, we may close the project and invoice the work done so far. Restarting later depends on our availability.
You confirm that you have the rights to everything you send us (texts, images, logos, fonts, code) and that we can use it for your project.
4. Revisions and changes
The quote includes 2 rounds of revisions per milestone. A revision round is one consolidated list of changes within the agreed scope. Extra rounds, and anything outside the agreed scope, are quoted separately or billed at the hourly rate in the quote. We tell you before doing paid extra work.
5. Delivery and approval
We deliver each milestone for your review. You have 7 days to approve it or send your revision list. If we hear nothing within 7 days, the milestone counts as approved. Approved milestones are final.
6. Who owns the result
When you have paid the full price, we assign to you all rights, title and interest, including copyright, in the custom work we created specifically for your project (the "deliverables"), worldwide and for the full duration of those rights. Until then, we keep the rights and you may only use the work for review.
What stays ours: our own tools, libraries, existing qodesign components and general know-how that we bring into the project. You get a perpetual licence to use those as part of your project under the qodesign Licence, but not to resell them separately.
Open-source libraries used in the project stay under their own licences.
7. Portfolio
We may show the finished work (screenshots, a short video, the project name and your company name) in our portfolio and on social media, after it is public. If you need us not to, or the project is confidential, tell us before we start and we will sign an NDA.
8. Warranty and support
For 30 days after final delivery we fix, for free, bugs in the work we delivered that stop it from working as agreed. This does not cover new features, changes you or others made to the code, hosting problems or updates to third-party services. Ongoing support, hosting or maintenance can be agreed separately.
9. Cancelling
- You can cancel at any time by email. You pay for the work done up to the cancellation date, at the quote's rates. The deposit counts toward that. If you have paid more than the work done, we refund the difference. You receive the work done so far once it is paid for.
- We can cancel if you breach these terms (for example by not paying) or if something outside our control stops us. If we cancel without fault on your side, we refund everything you paid for work you haven't received.
- Consumers in the EU, the EEA and the UK (people hiring us outside their trade or business) have a 14-day right of withdrawal from the date the project is booked. If you ask us to start before the 14 days end, you pay for the work done until you withdraw, and once the work is fully delivered at your request the right of withdrawal ends (EU: Directive 2011/83/EU, Articles 14(3) and 16(a); UK: Consumer Contracts Regulations 2013, regulations 36 and 36(6)). You can withdraw on the Withdraw from contract page or by email.
10. Liability
Apart from the 30-day fix in section 8, the work is provided "as is" to the fullest extent the law allows. Our total liability for a project is limited to the amount you paid for it, except where the law does not allow a limit (fraud, intent, gross negligence, or a consumer's statutory rights). We are not liable for lost profits or indirect losses. You are responsible for backups of your content and for how you use the delivered work.
11. Law
The laws of the State of Delaware apply, and disputes go to the state or federal courts in Sussex County, Delaware, subject to the consumer protections described in the Terms of Service (consumers in the EU, the EEA and the UK keep their mandatory home-country rights and can sue where they live).
